NON-EXECUTIVE DIRECTOR – RE/INSURANCE – BERMUDA – 10% TAX – HR650

About this opportunity

From time to time, we are approached by Bermuda-based re/insurers and other companies to provide support in identifying a suitably experienced and knowledgeable Non-Executive Director (NED) to join their Board.

The role of a NED is to provide independent guidance and oversight to the executive team. They are not part of the executive team and don't participate in day-to-day operations: instead, NEDs are responsible for the business's success and help it achieve its goals.

Typical responsibilities of a Non-Executive Director include the following:

  • Strategic guidance: Provide guidance on a range of business concerns, including policymaking and planning
  • Performance review: Monitor the business's performance and challenge processes and procedures
  • Stakeholder relations: Engage with shareholders/investors to address concerns and communicate the company's direction
  • Ethical conduct: Promote ethical behaviour and corporate social responsibility, and uphold standards of integrity and transparency
  • Conflict of interest: Disclose any potential conflicts of interest and abstain from voting on matters where a conflict may exist
  • Succession planning: Play a role in appointing and removing senior management
  • Remuneration: Determine appropriate levels of remuneration for executive directors

  • NEDs are appointed because they have the deep experience, relevant skills, contacts and personal qualities to contribute to an organisation's effective leadership
  • Non-Executive Directors have excellent diplomatic and interpersonal skills, strong mentoring abilities, and a commitment to lifelong learning
